Terms of Service for Invoko

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Invoko ("we", "us", or "our"), the operator of the Invoko desktop application and website located at invoko.ai (collectively, the "Service").
By downloading, installing, accessing, or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately discontinue use of the Service.
Important: If you are using Invoko on behalf of an organization or company, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include both you and that organization.
2. Service Description
Invoko is a voice-first, screen-aware desktop assistant designed to help you move work forward quietly — handling tasks in the background, keeping progress visible, and expanding only when you need more space to think.
The service includes, but is not limited to:
- Voice-activated task initiation (summarize, draft, capture, plan) without switching apps
- Screen-aware context reading to assist with on-screen work
- Background task execution with subtle completion signals
- Adaptive modes that adjust to your focus state
- Parallel task management and multi-thread support
- Seamless scaling from minimal presence to a full workspace canvas
Invoko is currently in Beta. Features, availability, and performance may change during this period. We appreciate your patience and feedback as we continue to improve the product.
3. Account Registration
3.1 Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. We reserve the right to terminate accounts of users who misrepresent their age.
3.2 Account Creation
To access certain features of the Service, you must create an account. You may register using:
- Your email address and a password
- Your Google account (via Google Sign-In)
You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Keep your password secure and not share it with any third party
- Notify us immediately at legal@invoko.ai if you suspect unauthorized access to your account
- Not use another user's account without permission
We are not liable for any loss or damage arising from your failure to maintain account security.
3.4 One Account Per User
Each user may maintain only one active account. Creating multiple accounts to circumvent restrictions, abuse free tiers, or evade a suspension is prohibited and may result in termination of all associated accounts.
4. License & Permitted Use
4.1 License Grant
Subject to your compliance with these Terms, Invoko grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Invoko desktop application on devices you own or control, solely for your personal productivity purposes.
4.2 Permitted Uses
- Using Invoko for personal task management, drafting, summarization, and planning
- Activating voice and screen-awareness features as designed
- Exporting and saving your own content generated through the Service
- Using Invoko across multiple personal devices under a single account (subject to plan limits)
4.3 Restrictions
This license does not permit you to:
- Copy, modify, distribute, sell, or sublicense the Invoko application or any part of it
- Reverse engineer, decompile, or disassemble the application
- Remove or alter any proprietary notices or labels on the application
- Use the Service to build a competing product or service
- Transfer your account or license to any other person or entity
5. Prohibited Uses
You agree not to use the Service in any manner that:
5.1 Illegal or Harmful Activity
- Violates any applicable local, national, or international law or regulation
- Infringes the intellectual property, privacy, or other rights of any third party
- Facilitates harassment, abuse, threats, or discrimination against any individual or group
- Generates, distributes, or promotes illegal content, including child sexual abuse material (CSAM)
5.2 System Abuse
- Attempts to gain unauthorized access to any part of the Service or its infrastructure
- Introduces malware, viruses, or any other malicious code
- Uses automated scripts, bots, or crawlers to access the Service in an unauthorized manner
- Overloads, disrupts, or impairs the Service or servers connected to it
5.3 Misuse of AI Features
- Attempts to manipulate or "jailbreak" the AI models powering Invoko
- Uses the Service to generate deceptive, fraudulent, or misleading content at scale
- Uses AI-generated outputs to impersonate individuals or organizations
- Systematically extracts AI model outputs for the purpose of training competing models
We reserve the right to investigate and take appropriate action against any violation of these prohibitions, including suspension or termination of your account and reporting to law enforcement authorities.
6. Subscription & Payment Terms

Early adopters who use Invoko during the Beta period will receive a discount when paid plans launch. We will notify you in advance of any pricing changes.
6.2 Payment Processing
All payments for paid subscription plans are processed by Stripe, Inc., a third-party payment processor. By subscribing to a paid plan, you agree to Stripe's Privacy Policy and Terms of Service. Invoko does not store your full payment card details.
6.3 Billing & Renewal
- Paid subscriptions are billed on a recurring basis (monthly or annually, as selected) and will automatically renew unless cancelled.
- You authorize us to charge your payment method on file for each renewal period.
- We will send a reminder before any free trial converts to a paid subscription.
- Prices are displayed in USD and are exclusive of applicable taxes unless stated otherwise.
6.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the period for which you have already paid.
6.5 Refunds
We offer refunds at our discretion. If you believe you are entitled to a refund, please contact us within 14 days of the charge. We will review your request and respond within 5 business days.
6.6 Taxes
Unless stated otherwise, the costs shown on the Service exclude taxes and fees that may apply to your purchase. The amount of any applicable taxes or fees will be added to the purchase price and displayed during check-out, prior to your confirmation of the purchase order. You are solely responsible for paying any applicable taxes and fees.
6.7 Price Changes
We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Your continued use of the Service after the price change constitutes acceptance of the new pricing.
7. User Content
7.1 Ownership
You retain full ownership of all content you create, input, or generate through your use of the Service ("User Content"), including voice inputs, task outputs, drafts, summaries, and any other materials. Invoko claims no ownership rights over your User Content.
7.2 License to Invoko
By using the Service, you grant Invoko a limited, non-exclusive, royalty-free license to process, store, and transmit your User Content solely to the extent necessary to provide and improve the Service. This license does not permit us to sell, share, or use your content for advertising or AI model training.
7.3 Your Responsibility
You are solely responsible for your User Content and represent that:
- You own or have the necessary rights to all content you submit
- Your content does not violate any third-party rights or applicable laws
- Your content does not contain malicious code or harmful material
8. AI and Third-Party Website Generated Content
8.1 Nature of AI Outputs
Invoko uses AI models (powered by OpenAI and Anthropic) to generate responses, drafts, summaries, and other outputs ("AI Content"). AI Content is generated based on your inputs and context, and may not always be accurate, complete, or appropriate for your specific needs.
Important: AI content should not be relied upon as professional legal, medical, financial, or other expert advice. Always verify AI-generated information before acting on it, especially in high-stakes situations.
8.2 Ownership of AI Outputs
To the extent permitted by applicable law, AI content generated in response to your inputs is provided to you for your use. You are responsible for reviewing, editing, and taking responsibility for any AI Content you use or share.
8.3 No Training on Your Data
Invoko does not use your User Content or AI interactions to train AI models. Your inputs are processed transiently by our AI providers solely to generate responses for you.
8.4 Accuracy Disclaimer
AI models can produce errors, hallucinations, or outdated information. Invoko makes no warranty regarding the accuracy, reliability, or fitness of AI Content for any particular purpose. You assume full responsibility for how you use AI-generated outputs.
8.5 Third-Party Websites
The Extension accesses content from third-party websites at your destination. We are not responsible for:
- The content, accuracy, or legality of third-party websites
- Third-party websites' terms of service or privacy policies
- Your compliance with third-party terms when accessing their content
9. Intellectual Property
9.1 Invoko's IP
The Service, including its software, design, user interface, logos, trademarks, and all related technology, is owned by SOPHIAPRO PTE. LTD. and is protected by intellectual property laws in Singapore and internationally. Nothing in these Terms transfers any ownership of Invoko's intellectual property to you.
9.2 Feedback
If you submit feedback, suggestions, or ideas about the Service ("Feedback"), you grant Invoko a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize that Feedback without any obligation to you. You waive any moral rights in such Feedback to the fullest extent permitted by law.
9.3 Third-Party IP
The Service may incorporate third-party software, libraries, or services, each subject to their own license terms. Invoko respects the intellectual property rights of others and expects users to do the same. If you believe your intellectual property rights have been infringed, please contact us.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and protect your personal information.
Key privacy commitments:
- We never sell your personal data to third parties
- Voice recordings are not retained after processing
- Screen captures are processed in memory only and never stored
- Your data is never used to train AI models
- You control what task history is saved or deleted
By using the Service, you consent to the data practices described in our Privacy Policy.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
INVOKO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, error-free, or free of viruses or other harmful components
- Warranties regarding the accuracy, reliability, completeness, or timeliness of any content, including AI-generated content
- Warranties that defects in the Service will be corrected
Invoko is currently in Beta. Some features may be incomplete, unstable, or subject to change. We appreciate your understanding as we continue to develop the product.
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full. In such cases, our warranties are limited to the minimum extent permitted by applicable law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVOKO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages arising from your reliance on AI-generated content
- Damages resulting from unauthorized access to or alteration of your transmissions or data
- Damages arising from any third-party conduct or content
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF INVOKO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN JURISDICTIONS WHERE LIMITATION OF LIABILITY IS PERMITTED, INVOKO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO INVOKO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.
Some jurisdictions do not allow the limitation of liability for certain types of damages. In such cases, our liability is limited to the maximum extent permitted by applicable law.
13. Account Termination
13.1 Termination by You
You may close your account and stop using the Service at any time. To delete your account, use the in-app account settings or contact us. Upon account deletion, your personal data will be handled in accordance with our Privacy Policy.
If you have an active paid subscription, cancellation of your account will take effect at the end of your current billing period. No partial refunds are provided unless required by applicable law.
13.2 Termination by Invoko
We reserve the right to suspend or terminate your account, with or without notice, if we determine that you have:
- Violated any provision of these Terms
- Engaged in fraudulent, abusive, or illegal activity
- Provided false or misleading information during registration
- Failed to pay applicable subscription fees
- Posed a security risk to the Service or other users
13.3 Effect of Termination
Upon termination of your account for any reason:
- Your license to use the Service immediately ceases
- You must uninstall the Invoko application from your devices
- We may delete your account data in accordance with our Privacy Policy
- Provisions of these Terms that, by their nature, should survive termination will remain in effect, including Sections 9 (Intellectual Property), 11 (Disclaimer), 12 (Limitation of Liability), and 14 (Governing Law)
13.4 Appeals
If you believe your account was suspended or terminated in error, you may appeal by contacting us within 30 days of the termination notice. We will review your appeal and respond within 10 business days.
14. Governing Law & Dispute Resolution
14.1 Governing Law
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before initiating any formal dispute, you agree to first contact us and attempt to resolve the matter informally. We will make good-faith efforts to resolve any dispute within 30 days of receiving your notice.
14.3 Jurisdiction
If informal resolution fails, you agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore. You irrevocably submit to the personal jurisdiction of such courts.
14.4 Class Action Waiver
To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only, and not as a class, consolidated, or representative action.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. When we make material changes, we will:
- Update the "Effective Date" at the top of this page
- Notify you via email at least 30 days before material changes take effect
- Display a prominent notice within the Invoko application
- Provide a clear summary of what has changed
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
For minor, non-material changes (such as typographical corrections or clarifications), we may update these Terms without prior notice.
16. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations.
